1999 - 2001 - Cabonne Limited - Australia
Founded in 1995, Cabonne Limited is a multi-branded
Australian wine company, and the largest wine producer in the
Orange region of New South Wales. With 900 hectares of established
vineyards and a new winery with production capacity growing to
20,000 tonnes over the next four years, Cabonne is one of the
largest new wineries in Australia.
Cabonne engaged IWA
in 1999 to structure a joint venture with a partner to distribute
and market an established wine label in the U.S. and other global
markets. During the process IWA provided the following services
to Cabonne :
- Developed
a target list of potential partners;
- Screened the targets and made approaches on behalf of Cabonne;
- Represented Cabonne in negotiations with interested targets;
- Supervised the due diligence process on behalf of Cabonne.
IWA initiated discussions
on behalf of Cabonne with Trinchero Family Estates (Sutter Home),
the largest family owned winery in the U.S.A. In January 2001,
IWA served as advisor to Cabonne in the signing of an exclusive
joint venture agreement with Trinchero to create a jointly owned
brand of Australian wines. Under the terms of the alliance, Cabonne
will supply premium branded wines that will be marketed and distributed
by Trinchero in the United States and other markets throughout
the world. The launch of the new Cabonne wines will take place
during 2002.
1996 - 1999 - Mildara Blass (Foster Brewing Group), Australia
Following the Fosters
acquisition in January, 1996 of Mildara Blass, one of Australia's
leading wine companies, IWA was engaged in April to develop
and implement a global growth strategy for Mildara Blass to
produce wines in other New World countries and take advantage
of the company's experience as a leading producer and marketer
of Australian wines. After a period of review, IWA recommended
and developed projects for Mildara Blass in the U.S.A. and Chile.
- Mildara Blass announced two major
overseas initiatives in June 1997 : the start of a joint-venture
in Chile with Vina Santa Carolina and the establishment of winemaking
operations in California.
- In 1998 Mildara Blass introduced the Dallas Conte brand of
Chilean wines and the Bayliss & Fortune brand of California
wines to major markets. IWA served as Project Manager on both
the Chilean and California projects.
To support the development of their new California brand, Mildara
Blass acquired 200 plantable acres of Napa Valley property in
1998 from Juliana Vineyards. IWA initiated this transaction
and served as strategic advisor on this acquisition.
1993 - Southcorp Holdings - Australia
IWA was retained by one of the largest Australian
wine groups (with annual wine revenues of US$ 300 + million at
the time and the subsidiary of a diversified US$ 2 billion multinational)
to assist in development of their U.S. acquisition strategy for
buying a winery in California. IWA performed the following functions
:
- Developed the acquisition brief that was used to generate corporate
approval for the project (philosophy, criteria, expected ROI and
other financial and strategic objectives) and the winery target
list;
- Completed an analysis of over 25 winery targets (summary of
assets, income statement to EBIT level, product mix and marketing
analysis, management evaluation, availability for acquisition
and recommended approaches, etc.);
- Ranked the targets against the criteria and performed acquisition
screen;
- At the conclusion of this process IWA recommended two alternative
acquisition strategies that were developed further with the company.
Since the completion of this project IWA has initiated and advised
the company on various California acquisitions. As a result of
these efforts the company now owns substantial California vineyard
acreage and has launched a California brand into the world market
with current annual sales in excess of 50,000 cases.
2000 - 2001 The Crossings - New Zealand
The Crossings is a subsidiary of New Zealand's
Farmers' Mutual Group, one of New Zealand's foremost providers
of rural sector financial services. In 1995, The Crossings began
purchasing land and planting vineyards in the Awatere Valley of
Marlborough in New Zealand. With 140 hectares of premium vineyard
planted that are expected to reach full production of 70,000 cases
in 2005, IWA was retained to structure global marketing and distribution
agreements for the brand.
Working with IWA in
2001, The Crossings signed distribution agreements with D&D Wines
in the United Kingdom and with W. J. Deutsch & Co in the United
States. The Crossings brand of New Zealand wines is now available
in these markets.
